GENERAL CONDITIONS AND TERMS OF SERVICE

Access to the website implies compliance with and acceptance of these General Terms and Conditions and Terms of Service (the 'Terms').

- Our Mission
- Our aim is to create a point of contact and encounter between companies offering warehouse space and/or services (the 'Stockers', specialised logistics operators, or the 'Stock keepers', companies that have made themselves available to house goods and provide any additional services) and companies or individuals looking for a suitable space to store their goods (the 'Stock hunters'), in order to simplify the increasingly necessary and often too time-consuming search for space for both parties.
- Stockit therefore offers stock keepers and stock hunters a virtual platform ('Platform') where they can promote and search for storage space for their goods, in order to facilitate a meeting point between supply and demand.

- Permitted and prohibited uses
- It is prohibited to carry out, directly or indirectly, any form of commercial exploitation of the information contained on the Site. Violation of this prohibition shall be prosecuted to the full extent of the law. Stocker/Stock keeper and Stock hunter, as well as each user browsing the Site (the "User"), agree that the use of the content and/or services offered by Stockit is at their sole risk and under their own responsibility.
- The User undertakes to use the Site and all its contents in accordance with the law, morality, public order and in accordance with the Terms. Likewise, he/she undertakes to make appropriate use of the contents of the Site and not to use them for activities that are unlawful, contrary to good faith or criminal, or detrimental to the rights of third parties or any other rule of law.
- Only persons of legal age may use the Site.
- The Company reserves the right not to grant access to the services and content of the Site at its sole discretion, reserving the right to withdraw access to its pages without notice to any User who violates the Conditions.

- Intellectual Property
- The Company is the legitimate owner of the Site, the pages it comprises, the information or elements contained in the texts, documents, drawings, graphics, databases, software, logos, brands or other signs protected by intellectual or industrial property rights.
- Unless expressly authorised by the Company or a third party holder of the corresponding rights, or unless legally authorised, the User may not reproduce, transform, modify, decode, distribute, rent, make available to anyone or allow access through any form of communication to the public of any of the elements mentioned in the previous paragraph.

- Exclusion of liability
- Stockit does not guarantee the continuity of access or the correct display, downloading or use of the elements and information contained on the Site and Platform.
- Stockit assumes no liability for information, content, products and services offered or provided through the Site and the Platform.
- The Company assumes no liability for any damages, losses, claims or expenses arising from: i. interference, interruptions, errors, omissions, telephone failures, delays, blockages or disconnections in the operation of the electronic system caused by deficiencies, errors and overloads on the telecommunications lines and networks, or for any other cause beyond the control of the Company, ii. the use of any illegal and/or malicious program, such as viruses, Trojans, etc., iii. the improper or incorrect use of the Site, iv. navigation security or errors caused by browser malfunctions or outdated versions of browsers, or obsolete hardware.
- The Company accepts no liability for any interruption or malfunctioning of the Site and the Platform due to, but not limited to: mechanical or electronic equipment or communication line failures, actions of third parties (e.g. service blockages, misuse or abuse of the Platform), technical or other connection problems, computer viruses, unauthorised access, theft, operator error, fire, adverse weather conditions including floods, acts of God, actions or regulations of regulatory, governmental or supranational authorities, wars, riots, industrial disputes and the cancellation or postponement of events.

- The role of Stockit
- Stockit offers the possibility to use the Platform that allows Stocker/Stock keepers to publish and offer their storage and warehouse services (the 'Services') and Stock hunters to search for storage areas and warehouses (the 'Warehouses'), request a quotation from Stocker/Stock hunters and conclude a contract.
- When Stocker/Stock keeper and Stock hunter reach an agreement, they are entering into a contract directly between themselves. Stockit is not and does not become a party to that contract, nor does it assume any obligation towards Stocker/Stock keeper and Stock hunter, nor does it act as their agent.

- Negotiation between Stocker and Stock hunter through the Site
- The User acknowledges and accepts that any contractual or extra-contractual relationship formalised through the Site, relating to the Services, shall be carried out only and exclusively between Stocker/Stock keeper and Stock hunter. Consequently, you agree that Stockit shall have no liability whatsoever for any breach of contract or damages, of whatever nature, arising out of any contractual or extra-contractual wrong arising out of the relationship between Stocker/Stock keeper and Stock hunter.
- While Stockit strives to ensure a high quality of services, it is not responsible for the quality and condition of the Stockrooms, for which the individual Stocker/Stock keeper is responsible, nor is it responsible for the Stock hunters' assets.

- Applicable law and jurisdiction
- The Conditions shall be governed by and construed in accordance with Italian law.
- If the Stock hunter acts as a consumer, the mandatory consumer protection laws set forth in Legislative Decree No. 206/2005 as amended ("Consumer Code") shall apply.
- Except as provided by non-derogable provisions of law, the Court of Lecco shall have exclusive jurisdiction to settle any and all disputes concerning the Conditions and the relationships governed by them.

- Modification of Conditions
- If the Conditions are amended, the Company will publish the amended Conditions on the Site and update the "Last Updated" date indicated at the beginning of the Conditions. If the changes to the Terms are material, the Company will ask you to explicitly accept the amended Terms.
- In the event of i. non-substantial changes to the Conditions which do not affect its essential provisions such as, in particular, the provisions defining the nature and scope of the services provided by Stockit, or ii. changes required by law, by a legally binding judicial decision or by a binding order of a competent authority, the User's continued use of the Site after the effective date of the proposed changes shall constitute acceptance of the changed conditions.
